📜Terms of Service
These Terms of Service ("Terms") govern your use of the Built By DAO platform, including the web application at app.builtbydao.com, all smart contracts deployed by Built By DAO, and participation in the Built By DAO member collective (collectively, the "Platform"). By accessing, creating an account, or using any part of the Platform, you agree to be bound by these Terms. If you do not agree to all terms herein, do not use the Platform.

You must meet all of the following conditions to use the Built By DAO Platform:
Age & Legal Capacity
You are at least 18 years of age
You have the legal right to enter into binding contracts in your jurisdiction
You are not a minor, incapacitated person, or legal incompetent
If you are acting on behalf of a legal entity (company, DAO, trust), you have authority to bind that entity
Geographic & Regulatory Requirements
You are not located in or a resident of a country under comprehensive U.S. sanctions (OFAC list)
Your use does not violate export control laws or sanctions regulations
You comply with all laws applicable to blockchain transactions, token transfers, and smart contract interactions in your jurisdiction
You are not engaging with the Platform to evade sanctions, taxes, or legal obligations
No Prohibited Parties
You cannot use the Platform if you are:
A person or entity with whom Built By DAO is prohibited from dealing under U.S. law or Wyoming law
Listed on any government sanctions list
Previously terminated from the Platform for violating these Terms
Acting on behalf of someone who meets any prohibited criteria above
Jurisdiction Acknowledgment
You acknowledge that:
Built By DAO operates as a Wyoming DAO LLC
These Terms are governed by Wyoming law
You consent to jurisdiction in Wyoming for all disputes
Your use of the Platform constitutes acceptance of Wyoming legal authority
Verification
Built By DAO reserves the right to verify your eligibility at any time, including requesting identity information, proof of age, or geographic location data. Failure to provide verification may result in account suspension or termination.
Account Creation & Responsibilities
Creating Your Account
To access the Platform, you must:
Provide accurate, current, and complete information during registration
Create a secure password (minimum 12 characters recommended)
Connect a cryptocurrency wallet using standard wallet connection protocols (Coinbase OnchainKit, Reown AppKit, or equivalent)
Verify your wallet address and email
Review and affirmatively accept these Terms of Service
You are responsible for any account created using your wallet connection and email address.
Wallet Connection & Authority
By connecting your cryptocurrency wallet to the Platform:
You confirm you have sole authority over that wallet and its private keys
You authorize Built By DAO to read your wallet address and transaction history (read-only)
You understand that wallet connections are managed by third-party wallet providers
You assume all risk of wallet compromise, loss, or unauthorized access
Built By DAO is not responsible for wallet security or third-party wallet provider actions
Account Information Accuracy
You agree to:
Provide truthful, accurate, and current information at all times
Update your profile information immediately if any details change
Not impersonate another person or entity
Not create multiple accounts to circumvent restrictions or manipulate governance
Maintain the confidentiality of your account credentials
Security Obligations
You are responsible for:
Protecting your private keys and wallet access credentials
Preventing unauthorized access to your account
All activities that occur through your account, whether authorized by you or not
Notifying Built By DAO immediately if you suspect unauthorized access
Regularly monitoring your account for unusual activity
Built By DAO will not be responsible for losses resulting from compromised wallet security, lost private keys, or unauthorized account access.
Account Suspension & Termination
Built By DAO may suspend or terminate your account at any time for:
Violation of these Terms
Suspected illegal activity
Suspicious wallet behavior or transaction patterns
Inactivity exceeding 24 months
Failure to maintain accuracy of account information
Security concerns
Upon termination, your access to the Platform ceases immediately. Tokens already earned or transferred to your wallet remain in your wallet; Platform access is what terminates.
Acceptable Use Policy
Prohibited Conduct
You agree not to use the Platform to:
Illegal Activity
Engage in or facilitate any illegal activity under Wyoming, U.S., or applicable local law
Violate any securities, commodities, or financial services laws
Evade taxes or reporting obligations
Engage in money laundering, terrorist financing, or sanctions evasion
Facilitate the sale or transfer of controlled substances
Create or distribute child sexual abuse material
Abuse & Harassment
Harass, threaten, defame, or intimidate other members
Engage in coordinated abuse or hate speech
Dox or reveal private information about other members without consent
Send unsolicited spam or unwanted messages
Stalk or monitor other members without consent
Platform Integrity
Attempt to gain unauthorized access to the Platform or other members' accounts
Use bots, scrapers, or automated tools without explicit written permission
Interfere with or disrupt Platform functionality
Reverse-engineer, decompile, or attempt to derive source code
Exploit security vulnerabilities without responsible disclosure
Create fake reviews, votes, or engagement metrics
Artificially inflate governance votes through coordinated voting rings
Financial Manipulation
Engage in market manipulation or pump-and-dump schemes
Spread false information about token value or Platform viability
Misrepresent token economics or earning potential
Fraudulently claim credentials or work history
Commit fraud in task submissions or project deliverables
Intellectual Property
Infringe on copyrights, trademarks, patents, or other IP rights
Upload or share content you do not own or have rights to distribute
Plagiarize work or claim credit for others' contributions
Violate third-party license agreements
Content Moderation
Built By DAO monitors for violations but is not responsible for all user-generated content. We may, at our discretion:
Remove or restrict access to prohibited content
Warn, suspend, or terminate accounts engaged in violations
Report illegal activity to law enforcement
Require removal of content that violates third-party rights
Consequences of Violation
Violations of this Acceptable Use Policy may result in:
Content removal or account restriction
Temporary account suspension (7–90 days)
Permanent account termination
Loss of accumulated tokens (at Built By DAO's discretion)
Legal action if conduct is illegal
Reporting to law enforcement
DAO Participation & Governance
Task & Project Participation
When you participate in Built By DAO tasks and projects:
Engagement Terms
You are not an employee, contractor, or agent of Built By DAO
No employment relationship, worker protections, or benefits apply
Participation is voluntary and can be declined without penalty
You retain full rights to your own time and work schedule
Tasks are not guaranteed; Built By DAO may cancel or modify projects at any time
Work Product Ownership
Built By DAO retains ownership of work products you create while completing DAO tasks (see IP section below)
You retain certain moral rights and may reference the work in your portfolio (with Built By DAO attribution)
Unauthorized copying or redistribution of DAO work product is prohibited
Dispute Resolution for Tasks
Task payment disputes are resolved through the Governance process or internal mediation
If you believe you completed work without proper compensation, submit a formal claim to the DAO Treasury
Claims must include documentation of completed work and expected compensation
Treasury disputes follow standard proposal procedures and governance voting
Rank & Membership Progression
Rank advancement is determined by the DAO governance process and is not guaranteed
Built By DAO may adjust rank criteria or requirements at any time
Demotion or rank removal may occur for inactivity, violation of terms, or governance decision
Rank does not guarantee ongoing tasks or compensation
Governance Participation
Voting Rights & Quadratic Voting
You earn governance power through accumulated EQTBLT tokens (equity tokens)
Governance is conducted via quadratic voting (diminishing returns for large holdings)
Your voting power is subject to a 4× voting ceiling (prevents capital capture)
BLTBY token holders have reduced governance weight with caps per investor tier
One vote = one vote mathematically, with the quadratic function preventing whale dominance
Proposal Submission
Any member at Apprentice rank (1B) or higher may submit governance proposals
Proposals must follow the template and submission process defined in governance documentation
Spam or frivolous proposals may be dismissed by the DAO's moderation team
You are responsible for clearly describing your proposal's impact and implementation plan
Voting Conduct
You agree to vote in good faith and in the DAO's best interest
Coordinated voting rings or vote manipulation to bypass quadratic voting is prohibited
Selling your vote or accepting payment for voting is prohibited
Voting outcomes are binding on all members once finalized on-chain
Treasury & Financial Safety Rails
The DAO operates under safety rails that limit Treasury withdrawals:
Maximum 10% per single proposal
Maximum 5% daily aggregate
Maximum 20% monthly aggregate
Minimum 15% reserve maintained
These limits protect the DAO from catastrophic financial loss through governance error
Smart Contract Interaction
Governance decisions are executed on-chain via smart contracts on the Base network (Ethereum L2)
Once a vote passes and is executed, it is irreversible on-chain
Gas fees and blockchain transaction costs may apply
Built By DAO is not responsible for network congestion, transaction failures, or unexpected gas costs

You may purchase BLTBY tokens on decentralized exchanges or through the Platform
BLTBY is fully tradeable and transferable

Built By DAO does not guarantee token price, liquidity, or trading volume
Governance Weight with Investor Caps
BLTBY grants governance voting power with investor-tier-based multipliers:
Angel investors ($10k–$250k): 1.5× multiplier, subject to tier caps
VentureOne investors ($500k–$5M): 2× multiplier, subject to tier caps
Trust investors ($5M+): 2.5× multiplier, subject to tier caps
All multipliers are capped to prevent capital dominance in governance
BLTBY voting power can be diluted or modified through future governance votes
No Guaranteed Value or Utility
Built By DAO provides no guarantee of BLTBY token value, price appreciation, or liquidity
Token utility (staking, governance) may change or be removed through governance
Token price may decline to zero
Regulatory changes may restrict BLTBY trading or use
EQTBLT (Equity Token)
Acquisition & Soul-Bound Nature
EQTBLT tokens are earned exclusively through task completion and DAO work
EQTBLT are soul-bound (non-transferable) — they cannot be sold, traded, gifted, or transferred
Soul-bound nature is enforced at the smart contract level
You cannot remove or dispose of EQTBLT once earned
Governance Representation
EQTBLT represents your permanent stake in the DAO collective
Voting power is proportional to your EQTBLT balance without artificial multipliers
Soul-bound nature ensures true skin-in-the-game alignment
EQTBLT governance is proportionally weighted (no quadratic scaling like BLTBY)
Forfeiture & Termination
Upon account termination, your EQTBLT tokens remain in your wallet but lose governance weight
Terminated members cannot vote or participate in DAO governance
EQTBLT cannot be transferred to another person; they are permanently bound to your wallet address
In extreme circumstances (fraud, illegal activity), the DAO may vote to slash EQTBLT balances
No Guaranteed Value
Built By DAO makes no representation regarding EQTBLT value or financial return
Soul-bound tokens cannot be liquidated or converted to cash
Token value is entirely dependent on the DAO's success and your confidence in the mission
Regulatory classification of EQTBLT as a security may restrict your use or ownership rights
Cryptocurrency Risk Disclaimers
Market Volatility
Cryptocurrency tokens are highly volatile and may lose value rapidly
Past performance does not indicate future results
Token prices may fluctuate due to market sentiment, regulatory announcements, or technical issues
You may lose your entire investment in both BLTBY and EQTBLT
Smart Contract Risk
Built By DAO smart contracts are audited but not guaranteed to be bug-free
Smart contract vulnerabilities, exploits, or bugs may result in loss of tokens
Once a transaction is recorded on-chain, it is irreversible
Built By DAO is not liable for loss of tokens due to smart contract failures
Regulatory Risk
Cryptocurrency regulations are evolving and vary by jurisdiction
Future laws may restrict or prohibit token ownership, trading, or use
Tax obligations for token earnings are your responsibility
Built By DAO does not provide tax, legal, or financial advice
Wallet & Exchange Risk
Third-party wallets and exchanges may fail, be hacked, or shut down
Built By DAO is not responsible for losses from wallet providers or exchanges
You assume all risk of wallet security and custody
No Investment Advice
Built By DAO does not provide investment, financial, or tax advice
Token acquisition decisions are entirely your responsibility
Consult qualified financial and legal advisors before purchasing or earning tokens
Do not invest more than you can afford to lose
Tax Responsibility
You are solely responsible for:
Determining your tax obligations for token acquisition, earnings, and transfers
Reporting token earnings and gains to relevant tax authorities
Maintaining records of all token transactions
Paying applicable taxes in your jurisdiction
Built By DAO does not provide tax advice and is not responsible for your tax compliance.
Intellectual Property Ownership
Work Product Ownership
Built By DAO Owns Task-Based Work When you complete tasks or projects assigned by Built By DAO:
Built By DAO retains full ownership of all work product, including code, design, documentation, and content
You transfer all copyright, patent, and intellectual property rights to Built By DAO
You waive moral rights to the work (right of attribution, integrity, etc.) to the extent permitted by law
You may not use, reproduce, or distribute the work without explicit Built By DAO permission
Your Personal Work Retains Your Ownership Work you create outside of DAO tasks remains entirely yours:
Personal projects, side work, and code created on your own time is your property
You may use personal work for your portfolio, open-source projects, or commercial purposes
You may reference Built By DAO as a client or past affiliation (with attribution)
Attribution & Portfolio Use
Permitted Attribution You may state:
"I contributed to [Project Name] at Built By DAO"
"I completed [Task/Role] for the Built By DAO collective"
Include a link to docs.builtbydao.com or the public-facing project portfolio
Reference your rank, tenure, and general role (without proprietary details)
Prohibited Use You cannot:
Publicly release proprietary code, designs, or documentation
Claim sole authorship of collaborative DAO work
Use DAO work to solicit clients or competitors
Disclose confidential DAO business information
Share detailed code or architectural designs without permission
Third-Party Intellectual Property
You Warrant You Own Your Contributions By submitting work to the DAO, you represent and warrant that:
You own or have rights to all content you contribute
Your contributions do not infringe on third-party copyrights, patents, or trademarks
Your contributions do not violate non-compete or confidentiality agreements with prior employers
Your contributions are original or properly licensed
Indemnification If your contributions infringe on third-party IP rights, you indemnify Built By DAO against:
Claims, damages, and legal fees
Loss of reputation or operational disruption
Removal or modification of the infringing work
NDA & Confidentiality
Work is Confidential All DAO work product, processes, and internal decisions are confidential:
You agree not to disclose DAO information to external parties without permission
Confidentiality obligations survive termination
Exceptions: disclosures required by law, disclosed to legal counsel, or made to public on-chain records

Licensing & Open Source
If a DAO project uses open-source software:
All open-source licenses are respected and complied with
You acknowledge license obligations when contributing to open-source DAO projects
Open-source components remain available under their original licenses
Limitation of Liability & Dispute Resolution

As-Is Disclaimer The Platform is provided on an "as-is" and "as-available" basis without warranties of any kind.
Built By DAO disclaims all warranties, express or implied, including:
Merchantability, fitness for a particular purpose, or non-infringement
Uninterrupted, error-free, or secure Platform operation
Accuracy or completeness of Platform information
Absence of viruses, malware, or other harmful code
No Guarantees Built By DAO does not guarantee:
Token value, price stability, or liquidity
Continuous Platform availability
Task payment or token earning opportunities
Rank advancement or membership benefits
Protection from smart contract bugs or failures
Protection from wallet compromise or third-party fraud
Limitation on Damages To the maximum extent permitted by law, Built By DAO is not liable for:
Loss of data, revenue, profits, or goodwill
Indirect, incidental, special, or consequential damages
Loss of tokens or cryptocurrency
Smart contract failures or exploits
Third-party actions or negligence
Your total liability against Built By DAO is limited to the amount you personally spent on BLTBY tokens in the past 12 months (or $0 if you have not purchased tokens).
Smart Contract Risk Acknowledgment
You acknowledge and assume all risk that:
Smart contracts may contain bugs, vulnerabilities, or design flaws
Exploits or hacks may result in loss or theft of tokens
Once a transaction is recorded on-chain, it is irreversible
Gas fees and blockchain costs are non-refundable
Network congestion may prevent transactions from completing
Built By DAO cannot undo smart contract executions
Third-Party Services Disclaimer
Built By DAO uses third-party services including:
Wallet providers (Coinbase OnchainKit, Reown AppKit, MetaMask, etc.)
Blockchain networks (Base/Ethereum)
Hosting and infrastructure providers
Identity verification and compliance services
Built By DAO is not responsible for third-party service failures, outages, or security breaches.
Dispute Resolution Process
Step 1: Internal Resolution (30 days) Contact [email protected] with:
A clear description of the dispute
Supporting documentation (screenshots, transaction receipts, communications)
Your proposed resolution
Built By DAO responds within 15 business days with an initial resolution attempt.
Step 2: Mediation (60 days) If unresolved after internal discussion:
Both parties agree to participate in confidential mediation
A neutral third-party mediator is selected (cost split equally)
Mediation occurs via video conference or written exchange
Either party may propose settlement; both must agree to finalize
Step 3: Binding Arbitration If mediation fails, disputes proceed to binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules:

Exception: Small Claims Small claims court proceedings (under $10,000) may proceed in small claims court in Wyoming at either party's election.

Your use may be monitored for suspicious activity
Changes to Terms & Notices
Modification of Terms
Built By DAO reserves the right to modify these Terms at any time. Changes take effect:
Immediately upon publication to docs.builtbydao.com
For new users: With account creation after the change
For existing users: 30 days after publication (or as required by law)
Notification of Changes
Built By DAO notifies members of material changes via:
In-app notification banner on app.builtbydao.com
Email to the address on file
Announcement in the DAO governance forum or Discord
Updates to the modified date on this page
Continued Use = Acceptance
If you continue using the Platform after a 30-day notice period, you accept all modified terms. If you do not accept a modification, you must terminate your account before the effective date.
Material vs. Non-Material Changes
Material Changes (30-day notice required):
Increase in DAO fees or token reduction rates
Changes to fundamental governance or voting mechanics
New restrictions on token use or transferability
Changes to arbitration or dispute resolution procedures
New privacy, data sharing, or security practices
Non-Material Changes (effective immediately):
Clarifications to existing language
Bug fixes or technical corrections
Updates to links or referenced pages
Formatting or style improvements
Additions to examples or explanations
Preservation of Rights
Nothing in these Terms constitutes a waiver of any legal right. If any provision is found invalid:
That provision is reformed to the minimum extent necessary
Remaining provisions continue in full force
The modification does not affect the validity of other terms
Entire Agreement
These Terms, together with the Privacy Policy, NDA & IP Assignment, and Community Guidelines, constitute the entire agreement between you and Built By DAO regarding the Platform.
No prior agreements, understandings, or negotiations (oral or written) supersede these Terms.
Waiver & Severability
Failure to enforce any right does not waive that right
Built By DAO's silence on a violation does not constitute waiver
If any provision is unenforceable, the provision is severed and remaining terms continue
Severance does not affect the validity of the full agreement
Assignment
You may not assign these Terms or your account to another person. Built By DAO may assign these Terms to any successor or affiliated entity. Assignment by Built By DAO does not require notice but you retain all rights under these Terms with the successor entity.
